Representation and Warranty

You represent and warrant (and shall be deemed to represent and warrant) to Zetrix on the date of such access, or on the latest date on which you retain possession of all or any part, of the White Paper as follows:

1. You are over 18 (eighteen) years of age;

2. You agree and acknowledge that the digital assets are not intended as securities or investment of any form;

3. You agree and acknowledge that the White Paper does not constitute a prospectus or offer document of any sort, and is not intended to constitute an offer of securities or a solicitation for investment in securities in any jurisdiction, and you are not bound to enter into any contract or binding legal commitment, and no cryptocurrency or other form of payment is to be accepted on the basis of the White Paper;

4. You agree and acknowledge that no regulatory authority has examined or approved of the White Paper, and that the distribution or dissemination by you of the White Paper or any part thereof is not prohibited or restricted by the applicable laws, regulations or rules in your jurisdiction, and where any restrictions in relation to possession are applicable, you have observed and complied with all such restrictions at your own expense and without liability to Zetrix;

5. You are fully aware of and understand that you are not eligible to purchase or subscribe for digital assets or access the White Paper if you are a citizen, national, resident (tax or otherwise) and/or green card holder of a Restricted Jurisdiction or if you are a Restricted Person;

6. You have an adequate level of understanding or familiarity in distributed ledger technologies and cryptographic digital assets;

7. You agree and acknowledge that in the case where you wish to subscribe for any digital assets, the digital assets should not be construed, interpreted, classified or treated as:

   1. A financial instrument or any type of investment or financial product which requires a separate licence, permit, approval or authorization from any governmental or statutory body to which you are subject;

   2. Electronic money which represents monetary value claimable on the issuer, stored on an electronic device, issued upon receipt of funds in an amount not less in value than the monetary value issued and accepted as a means of payment by undertaking other that the issuer;

   3. Deposit or any credit balance with a credit institution which results from funds left in an account or from temporary situations deriving from normal banking transactions and which a credit institution must repay under the legal and contractual conditions applicable, and any debt evidenced by a certificate issued by a credit institution;

   4. Debentures, stocks or shares issued by any entity; the rights, options or derivatives in respect of such debentures, stocks or shares; and the rights under a contract for differences or under any other contract the purpose or pretended purpose of which is to secure a profit or avoid a loss;

   5. Structured deposit with any contractual arrangement for repayment of deposit and interest derived from or based on a single security, a basket of securities, an index, a commodity, debt insurance, and/or a foreign currency;

   6. Units in a collective investment scheme;

   7. Units in a business trust;

   8. Derivatives of units in a business trust;

   9. Any other security or class securities; or

   10. Any kind of sovereign money, legal tender or foreign currency.

8. You are fully aware that in the case where you subscribe for any digital assets, you will assume the risks associated with them as enumerated in the “Risk Warnings” section, and in relying or acting on all or any part of the White Paper;

9. You agree and acknowledge that Zetrix is not liable for any indirect, special, incidental, consequential or other losses of any kind, in tort, contract or otherwise (including but not limited to loss of revenue, income or profits, or loss of use or data, or loss of reputation, or loss of any economic or other opportunity of whatsoever nature or howsoever arising) out of or in connection with any acceptance of or reliance on the White Paper or any part thereof by you; and

10. All of the above representations and warranties by you are true, complete, accurate and not misleading from the time of your last access to and/or possession of (as the case may be) the White Paper.
